1. Introduction
 

By accessing or using Ultreon AI servers (the “Product”), you agree to these Terms of Use, our End User License Agreement (EULA), and Privacy Policy (collectively, the “Agreements”). If you do not agree, do not use the Product.

2. Definitions

• Product: Refers to the hardware, software, AI models, tools, and associated documentation provided by Ultreon AI or third parties for use in connection with the services offered by Ultreon AI.

• Third-Party Components: Refers to any hardware, software, tools, or technologies included in the Product that are not owned or controlled by Ultreon AI.
   

3. Use of the Product

You may use the Product only for purposes permitted by these Terms and in compliance with all applicable laws. You may not:

• Modify, reverse-engineer, decompile, or disassemble the Product.

• Distribute, sublicense, or otherwise transfer the Product to any third party.

• Use the Product in a manner that infringes the rights of any third party.
   

4. Intellectual Property

• Reservations of Rights:

  • All rights in the Product, including its components (hardware, software, AI models, and associated documentation), are reserved by the respective owners of such components.

  • You acknowledge that the Product may include third-party intellectual property (e.g., software, tools, AI models or technologies) that are not owned or controlled by Ultreon AI, and such components are provided under the terms of their respective licenses.

• User Obligations:

  • You may not copy, reproduce, distribute, or reverse-engineer any part of the Product or third-party components without the express permission of the respective licensor or owner.

  • You must comply with all applicable licenses, terms, and conditions governing the use of the Product and its components, including but not limited to third-party software licenses (e.g., MIT, Apache, GPL, or Unraid’s EULA).

• No Unauthorized Use:

  • You agree not to modify, sublicense, or otherwise use the Product or its components in a manner that violates the rights of any owner or licensor.
     

5. Disclaimer of Warranties

• No Warranties:

  • The Product is provided "as is" and without warranties of any kind, express or implied.

  • Ultreon AI does not guarantee the accuracy, reliability, or suitability of AI outputs, third-party software, or the Product for any particular purpose.

• No Guarantees for Third-Party Software:

  • Ultreon AI does not guarantee the performance, security, or compliance of third-party software (e.g., OpenWebUI, Unraid) or open source AI models (e.g. Gemma, Deepseek).
     

6. Limitation of Liability

• Exclusion of Indirect Damages:

  • Ultreon AI is not liable for indirect, incidental, or consequential damages (e.g., loss of data, business interruption, or reputational harm).

• No Liability for AI Outputs:

  • Ultreon AI is not liable for AI outputs that are inaccurate, biased, or unsuitable for your purpose.

• No Liability for Product Malfunction:

  • Ultreon AI is not liable for malfunction or failure of the Product due to:

    • Unauthorized modifications.

    • Improper use or third-party interference.

    • Issues arising from third-party software or AI models (e.g., OpenWebUI, Gemma, Qwen).
       

7. Indemnification

You agree to indemnify, defend, and hold harmless Ultreon AI from any claims, damages, or liabilities arising from:

• Your use of the Product in violation of these Terms.

• Your use of third-party software or AI models (e.g., OpenWebUI, Gemma) in violation of their respective licenses.

• Any breach of these Terms or applicable laws.

• Any damage, loss, or harm caused by your actions or omissions.
   

8. Changes to These Terms

• Right to Update:

  • Ultreon AI may update these Terms from time to time.

  • Continued use of the Product constitutes acceptance of the revised Terms.

• Notification of Changes:

  • Ultreon AI will notify users of material changes via the Product or other reasonable means.
     

9. Termination

• Right to Terminate:

  • Ultreon AI may terminate your access to the Product if you breach these Terms or if required by law.

• Effect of Termination:

  • Upon termination, you must immediately cease using the Product and remove all copies of the Product from your devices.
     

10. Governing Law and Dispute Resolution

• Governing Law:

  • These Terms are governed by the laws of Singapore.

• Dispute Resolution:

  • Any disputes arising from these Terms will be resolved through arbitration in Singapore, in accordance with the Singapore International Arbitration Centre (SIAC) rules.
     

11. Entire Agreement

• Superseding Agreements:

  • These Terms constitute the entire agreement between you and Ultreon AI.

  • They supersede all prior agreements or understandings, whether written or oral.
     

12. Amendments and Waivers

• No Waiver:

  • Ultreon AI’s failure to enforce any provision of these Terms does not constitute a waiver of that provision.

• Amendments:

  • Any amendments to these Terms must be in writing and signed by both parties.
     

13. Severability

• Invalidity of Provisions:

  • If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
